Master Service & Subscription Agreement

Zenith and Zenith Arc are business names of Zenith Arc Advisory LLC.

This Master Service Agreement ("Agreement") is entered into by and between Zenith Arc Advisory LLC ("Zenith Arc," "we," "us," or "our") and the entity or individual purchasing services ("Client," "you," or "your"). By completing a purchase, clicking "I Agree," or utilizing the Services, you agree to be bound by this Agreement.

By entering into this Agreement, Client explicitly consents to receive automated SMS and/or email notifications, alerts, booking reports, and ROI notifications from Zenith Arc Advisory LLC as part of the Services.

1. Description of Services

Zenith Arc provides a proprietary lead recovery and automated messaging platform designed to capture, qualify, and facilitate bookings for missed inbound communications (the "Services"). This includes an initial "System Calibration" (AI Model Training & Integration) and ongoing "Lead Recovery" automation. As part of the technical setup, Zenith Arc provisions a dedicated Twilio-based phone number and configures the Client's inbound call flow so that unanswered calls are routed to a Zenith Arc-managed voicemail system. This voicemail system plays a Zenith Arc-recorded disclosure message and, upon the caller ending or abandoning the call, initiates the automated lead recovery sequence described herein.

2. Fees and Payment Terms

System Calibration (Setup Fee): A one-time, non-refundable fee of $400 is due upon execution of this Agreement. This fee covers technical integration, A2P 10DLC registration, AI model training, call routing configuration, and initial system setup.

Monthly Subscription: A recurring fee of $319 per month will be charged automatically to your provided payment method via Stripe.

Billing Commencement: To ensure Value-First delivery, the initial $319 subscription fee will only be processed once your A2P 10DLC Campaign has been officially approved by the mobile carriers and the system is "Live."

Billing Cycle: Following the "Live" date, your subscription renews automatically every thirty (30) days.

Campaign Renewal: A2P 10DLC campaign and brand registrations require ongoing maintenance to remain in good standing with TCR and wireless carriers. Zenith Arc will monitor registration status and manage any required updates, re-verification, or resubmissions on the Client's behalf. Client agrees to provide updated business information upon request to facilitate any required maintenance. Failure to provide required information may result in campaign suspension and service interruption.

3. Cancellation & Refunds

Cancellation: You may cancel at any time by emailing support@zenitharcadvisory.com at least seven (7) days prior to your next billing date.

Refunds: Except as explicitly stated in the "Self-Funded Performance Guarantee" (Section 11), all fees are non-refundable.

Number Decommission: Upon cancellation or termination of this Agreement, the dedicated phone number provisioned for the Client will be decommissioned within thirty (30) days. If the Client wishes to port the number to another provider, Client must submit a written port-out request to support@zenitharcadvisory.com prior to the termination date. Zenith Arc makes no guarantee of number portability, which is subject to carrier policies.

4. Client Responsibilities & Acceptable Use

The Client represents, warrants, and agrees to the following:

Call Routing Cooperation: Client agrees to configure their business phone system to forward unanswered calls to the Zenith Arc-provisioned Twilio number as directed during System Calibration. Zenith Arc is responsible for all voicemail greeting content, TCPA disclosure language, and the automated messaging sequence that follows. Client is not responsible for the content of the voicemail greeting, as this is recorded and managed entirely by Zenith Arc.

Acceptable Use: Client shall not direct Zenith Arc to send messages to individuals outside of the lead recovery workflow described in Section 1, and shall not use the Services to send unsolicited marketing messages or cold outreach of any kind.

Accuracy: Client is solely responsible for the accuracy of all pricing, scheduling, and service information provided to Zenith Arc during onboarding and updated thereafter. Zenith Arc's AI system communicates with customers based on the information the Client provides, and Zenith Arc is not liable for miscommunications resulting from inaccurate or outdated information supplied by the Client.

Compliance Cooperation: Client shall promptly notify Zenith Arc of any opt-out request received through any channel (phone, email, or in-person) so that Zenith Arc may immediately suppress that number from further automated messaging.

No Misuse: Client shall not use the Services for any purpose that violates applicable federal, state, or local law, including but not limited to sending communications to individuals who have previously opted out or who have informed the Client by any means that they do not wish to be contacted.

5. Limitation of Liability

To the maximum extent permitted by law, Zenith Arc's total liability for any claim arising out of this Agreement shall not exceed the total amount paid by the Client to Zenith Arc in the three (3) months immediately preceding the claim. Zenith Arc is not liable for misquotes, reputational damage, or technical malfunctions caused by third-party carriers or AI generation errors.

6. Indemnification

Client shall indemnify, defend, and hold Zenith Arc Advisory LLC harmless from any and all claims, fines, or damages arising from (a) the Client's misrepresentation of business information provided during onboarding, (b) the Client's failure to notify Zenith Arc of opt-out requests received outside the automated system, or (c) the Client's direction to use the Services in a manner inconsistent with this Agreement. For the avoidance of doubt, Zenith Arc retains responsibility for the content and compliance of the voicemail disclosure message and the automated messaging sequence, as these are configured and managed solely by Zenith Arc. Conversely, Zenith Arc shall indemnify, defend, and hold Client harmless from any claims, fines, or damages arising directly from (a) defects or non-compliance in the voicemail disclosure message configured by Zenith Arc, or (b) Zenith Arc's failure to honor opt-out requests processed through the automated system.

7. Data Ownership & Access

Client grants Zenith Arc permission to access and monitor its call logs and communication data solely for the purpose of providing the Services. Client retains ownership of all customer data, and Zenith Arc agrees not to share or sell this data to third parties.

Consent Records: Zenith Arc Advisory LLC will maintain records of all customer opt-in events, including timestamp, phone number, and the message content that constituted opt-in, for a minimum of five (5) years. Upon request or upon termination of this Agreement, Zenith Arc will provide Client with a copy of all opt-in records associated with their account.

8. Technical Disclaimers

Zenith Arc relies on third-party providers including Twilio, Stripe, and wireless carriers. We are not responsible for service interruptions, carrier-related delays, or message delivery failures caused by these third parties. We do not guarantee 100% uptime of the messaging relay. Zenith Arc is also not responsible for call routing failures caused by the Client's own phone system or provider.

9. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Wyoming, without regard to its conflict of law principles.

11. The "Self-Funded" Performance Guarantee

Zenith Arc offers a 30-day performance guarantee for the first month of service. If the estimated revenue from leads recovered by Zenith Arc does not exceed the cost of the monthly subscription ($319) in the first 30 days after going "Live," you may request a refund of that month's $319 subscription fee.

This guarantee is subject to the following "Active Participation" stipulations:

Response Requirement: The Client must be up-to-date on all system notifications. Specifically, the Client must have responded to every "End of Day (EOD) Booking Report" prompt within 24 hours to confirm which recovered leads were successfully booked.

Data Integrity: The refund is calculated based on the "Average Job Value" provided by the Client during onboarding. The Client warrants that the value provided is an accurate reflection of their actual business history.

Calculation: "Self-Funding" is achieved if (Recovered & Confirmed Leads x Average Job Value) > $319.

Exclusion: The one-time $400 "System Calibration" fee is non-refundable under all circumstances, as it covers the immediate labor of technical setup, A2P registration, call routing configuration, and model training.

Claim Window: Refund requests must be submitted in writing within seven (7) days following the completion of the first 30-day "Live" period.

12. Authorization to Message on Client's Behalf

By entering into this Agreement, Client explicitly authorizes Zenith Arc Advisory LLC to procure a dedicated local phone number and to send automated SMS/MMS communications to the Client's customers on the Client's behalf.

Scope: This authority is strictly limited to (a) a single initial consent-request message sent to individuals who called the Client's forwarded business number and heard the Zenith Arc-managed voicemail disclosure, and (b) subsequent service-related and transactional communications to individuals who have affirmatively replied to the consent request.

Voicemail Disclosure: Zenith Arc Advisory LLC is solely responsible for configuring and maintaining a voicemail greeting on the Twilio-provisioned number that includes all required TCPA disclosures, including notice that one automated follow-up text message may be sent and instructions to reply STOP to opt out. This disclosure is recorded and managed by Zenith Arc, not the Client.

Sender Identification: All automated messages will identify the Client's business by name in the body of every message. The Client's business name will always be the primary identified sender.

Record Keeping: Zenith Arc Advisory LLC will maintain records of opt-in timestamps, opt-out requests, and message logs for each end-customer contact. These records remain the property of the Client and will be made available upon request.

Opt-Out Compliance: All STOP requests from end-customers will be honored immediately and that number will be permanently suppressed from further automated outreach unless the end-customer affirmatively re-opts in.
